She was offered Happy New Year but not when it was first supposed to be made.

HNY was supposed to be Farah Khan's next movie after Main Hoon Na and launch Deepika. It had a lot of celeb cameos in it (PC, Amisha Patel, Zayed Khan, Raveena Tandon, etc.) but the script wasn't working and SRK didn't want to do it until the script was fixed.

So HNY was temporarily scrapped and Farah moved onto OSO. HNY didn't become a project till years later again. This time Aish was asked to do the film since Farah Khan always wanted to work with her and there was no SRK/Aish feud anymore after her marriage. This is when she said no because she found out Abhishek had a side role and she felt audiences would not accept them not being paired together and the film wouldn't work. So she graciously backed out.

Main Hoon Na was the first Farah Khan film offered to Aish. The original plan was SRK/Aish and Hrithik/Amisha as Lucky and Sanjana. This casting did not work for several reasons. SRK had his feud with Aish then and fired her from this film too. He told Farah Khan he wouldn't work with her so she got replaced with Sushmita. Meanwhile, Hrithik and Amisha became too big as stars to do side roles. Hrithik especially did not want to play another supporting role to SRK after K3G, especially since Koi Mil Gaya proved he was not a one-hit wonder and he could have a solo hero career. Hrithik is the one who suggested Zayed Khan take his part. Ayesha Takia and Amrita Rao were both considered for Sanjana and Amrita got it.

So Farah always wanted to work with Aish but could not during MHN because SRK would not work with Aish. After that, Farah decided she wanted to work with an Aish look-alike if she couldn't work with the real one, so she picked Deepika to launch in her next movie (originally HNY which was scrapped for OSO). And by the time she got back to HNY, she had already used Deepika but could now use Aishwarya since SRK didn't have problems working with her anymore. Aish said no, so she went back to Deepika.

Aish was never under consideration for the original HNY script because Farah knew from MHN that SRK would not work with her. This was still before Aish and Abhishek got married since their marriage didn't occur until OSO's release, the reason why the Bachchans didn't show up in Deewangi Deewangi as they were too busy with the wedding preparations.
