As to why she fell for him, I suspect the fact that he is loaded and the head of one of the biggest studios if not the biggest has something to do with it. Rani's family was struggling financially too I think and I think she was looking for stability.

But he is no prize in looks or character I think, just money.

Umm..you do know who the Chopras are right ? Yash Chopra who founded YRF and Adi Chopra his son ? They are loaded and filthy rich. Rani and Kajol's dads were not exactly known for being wealthy or successful, the only one who was successful was Joy Mukerii. Even Ayan's dad who is a part of that family was not that successful though they are an established film family. Yash Chopra was mega successful and Adi is super rich. Rani's family was struggling. Kajol's parents separated when she was kid and she was brought up by her grandmother while her mother Tanuja had to work to support the family. So Kajol was not super rich too though she comes from an established film family of generations on both sides (her mom's mom was an actress too).

@Bold Rani was interested in Abhishek per rumors. But I think Bachchans sabotaged that. There were also rumors about Govinda, don't know about that. What is clear is Rani was looking for stability.

ETA: Just because someone comes from an established film family does not mean they are rich or did not have to struggle. Karishma comes from the Kapoor family, established for generations and wealthy, but her parents were separated and her family apparently was not, so she faced casting couches just to get a foot in the door and to make money.
