NEW DELHI: A succession battle has broken out in the family of the late Sunjay Kapur, the promoter of Sona Comstar who died last month following a heart attack during a polo match. Alleging that the death of her son in the UK was "highly suspicious and (under) unexplained circumstances", Sunjay's mother Rani sought deferment of the company's AGM scheduled for Thursday, which, among other matters, had been called to approve the appointment of Priya Sachdev Kapur (Sunjay's wife) as a non-executive director.The AGM, however, went ahead as scheduled and Priya's appointment was approved by the board after being reviewed by the nomination and remuneration committee.Sona Comstar: Sunjay Kapur's mother not co's shareholderIn a letter addressed to the company's board, Rani - without taking names - had alleged that some people had chosen the AGM as an opportune time to wrest control of the company and usurp the family legacy. "The contents of such documents have never been revealed to me," she was quoted as saying in the letter, according to a news agency.In a statement after the AGM, the company - which is run by non-family professionals (as decided by Sunjay during his lifetime) - denied any wrongdoing, and said that Priya's appointment had been approved after her name was nominated by Aureus Investments Pvt Ltd, the promoter family entity for Sona Comstar in which the Kapur family held a significant stake

Sona Comstar claimed that Rani is not a shareholder of the company and denied asking her to sign any documents after Sunjay's death. "Based on the legal counsel and the fact that Rani Kapur is not a shareholder of the company, the company concluded that it could not defer the AGM. For clarity, the company confirms that no documents have been signed or obtained from Rani Kapur following the passing of Sunjay Kapur," the statement said.It added that the AGM was conducted "in full compliance with applicable laws" and regulatory frameworks. "Sona Comstar remains committed to the highest standards of corporate governance and transparency."The company said that it had sought urgent legal advice from "one of India's most reputed law firms" in relation to the legality of proceeding with the AGM after Rani had requested a deferment.In her letter, Rani had stated that certain people were representing themselves as being "the largest shareholders of the company since they claim to represent the interest of the family in the company".She claimed that by virtue of a will executed by her late husband Surinder Kapur, she is the sole beneficiary of his estate and accordingly a major shareholder of Sona Group, including the auto component firm.

Advocate Vaibhav Gaggar, who is representing Rani Kapur, said that Sunjay's death didn't look natural, adding that her mother has her apprehensions behind how things happened. "

She wants to get to the depth of the matter, and she is yet to know the exact cause of death...It did not seem to be a natural death at all. She has her apprehensions behind how things happened. AGM is a corporate matter that the company has called for," Gaggar told ANI news agency.

'Compelled to sign various documents'

In an emotional letter to the Sona Comstar board, Rani Kapur said she was coerced into signing such documents behind locked doors. She also said that she has been denied access to her accounts.

They are saying she wasn't even a shareholder. So what did she sign away? Why does she think they will ask her who should be CEO? So weird! I feel someone made her do this, to stop Priya from taking over.

If it goes to court, Karishma s kids will also be considered for a share in case the current wife was not planning to give anything.

Interesting ! I think Rani kapur has significant shares as per her late husband's will made in 2015 , that's what her lawyer n official statement says. Looks like MIL n DIL were in good terms while Sanjay was alive, what changed? Mother also seems suspicious of the death. With such huge wealth, it's gone be mess if taken to court.

Here is the full text of Rani Kapur's letter to the board:

I am, Rani Kapur, the former Chairperson of the Company and the wife of the Late Dr. Surinder Kapur, the Founder of Sona Comstar (“the Company”) and the Sona Group. By virtue of the Will dated 30.06.2015 executed by my late husband, I am the sole beneficiary of his estate and accordingly, also a majority shareholder of the Sona Group including the Company.

As you are aware, on 12.06.2025, my son Mr. Sunjay Kapur tragically passed away under highly suspicious and unexplained circumstances in the United Kingdom. Despite me seeking information, I have been unable to receive any relevant answers and documents explaining the incident and have been confined to the knowledge and version set out by the media.

Please take note that during the aforesaid period of grieving, I was approached multiple times and compelled to sign various documents without explanation or even having time to read and understand the same. Despite being under immense mental and emotional distress, I was coerced into signing such documents behind locked doors and though I’ve requested repeatedly, the contents of such documents have never been revealed to me. Please also take note that I have been totally denied access to my accounts and have been left to the mercy of a select few for survival. All this, in less than a month of my only son passing away.

It is unfortunate that while the family and I are still in mourning, some people have chosen this as an opportune time to wrest control and usurp the family legacy.

I have been informed by well-wishers that an Annual General Meeting (AGM) of Shareholders has been kept tomorrow, wherein one of the items is the passing of a resolution to appoint certain Director(s) in the Company as being the representative of the Kapur family. Unfortunately, once again, nothing has been told or explained, let alone discussed with me regarding the same by the Company or people involved. I’ve been informed that certain people are representing themselves as being the largest shareholders of the Company since they claim to represent the interest of the family in the Company. I am fully convinced that the documents which were executed by me under coercion and duress, post the demise of my son, at a time of mental and emotional vulnerability are being misused.

For the record, I state that I have not given any consent or officially nominated any person to come on the Board of the Company or any other Sona Group Company after my son’s demise or given any consent to any person to represent me in any capacity before the Company and or any other Sona Group Company.

I have also been provided with certain information in the past couple of days from certain well wishers which leaves me very disturbed with respect to how things have transpired not just with respect to the family but also the Company and the legacy of my late husband. At this stage, I wish not to dilate any further on the various gross illegalities which have surfaced except to state in no uncertain terms that it is imperative that no decisions are taken without my affirmative consent that could even slightly affect the role, responsibly and participation of the Sona group and family in Sona Comstar.

I reiterate, no one has the right currently, unless nominated by me to represent the Sona groups interest in the Company. Highly unsettling facts are coming to light and for the sake of the Company and the family it is imperative that no decisions are taken tomorrow.

If the Board and the shareholders however choose to ignore this letter, which I am writing in my capacity of not just being the grieving mother of Sunjay Kapur, but also the head of the Kapur family and the largest shareholder of the Company, it would be a clear case of mismanagement and breach of trust by the Company.

Since, I am still in the process of gathering all information despite the huge hurdles placed in my way, including no access to documents, bank accounts or affairs of the group, I request the esteemed persons marked on this mail to ensure that due cognizance is taken of this mail and the intent behind the same. Everything needs to be put on hold till there is a proper understanding of affairs by the existing duly constituted, independent Board and nothing must proceed further without discussion with me.

In view of the aforesaid, I call upon the Board of Directors and Shareholders of the Company to refrain from acting in furtherance of such resolutions for the appointment of any Director(s) in the Company or any other Sona Group Company and further unconditionally defer the Annual General Meeting (“AGM”) dated 25.07.2025.

I reiterate that by virtue of the Will left behind by my late husband, I am the majority shareholder in the Company and thereby the only authority to represent the interests of the family in the Company/Sona Group.

I look forward to hearing back from the members of the Board and the responsible shareholders and ensuring that we together are able to make sure that the Company does not fall victim to insidious designs and illegalites which are being perpetrated currently.

If however, your esteemed selves choose to ignore this mail and move forward tomorrow without conferring with me and discussing threadbare the details of what has unfolded, I would be left with no other option but to assume that it was a conscious decision taken by you to the detriment of the company and the family as you have chosen to be part of the illegalities which are unfolding every day.

Please postpone this AGM for at least two weeks to be held on a mutually convenient date, so that I may gather all necessary information, please ensure that there is total cooperation from the company and all details are made available to me, so I may gather all the facts together to present to the board.
